YOURSAMADHAN BUSINESS PARTNERSHIP AGREEMENT
1Purpose of Partnership
YourSamadhan operates as a local business networking and lead generation platform that connects customers, local advisors and businesses through trusted local connections and organic referrals.
The purpose of this agreement is to establish terms for lead sharing, business promotion and incentive structure between both parties.
2Nature of Services
YourSamadhan shall provide:
- Customer leads
- Promotional visibility
- Local advisor network support
- Business referrals
YourSamadhan acts only as a mediator and promotional network platform.
YourSamadhan does not guarantee:
- Sales
- Customer conversions
- Lead quantity
- Business profits
All lead generation depends on market conditions, customer requirements and business response quality.
3Official Communication Channels
The Business shall provide:
- One active official Email Address
- One active WhatsApp Number
All leads, updates and business communications shall be sent through these official channels.
Lead timestamps generated through official email communication shall be considered valid operational records.
4Lead Ownership & Dormant Lead Policy
If a lead/customer is introduced through the YourSamadhan network, the agreed incentive shall be applicable upon successful transaction or sale.
In case the Business claims prior communication with the same customer, the Business must provide reasonable proof of communication within the previous 30 days from the lead submission date.
Acceptable proof may include:
- Email records
- WhatsApp chats
- Call records
- Quotations
- Invoices
If no valid communication proof exists within the previous 30 days, the lead may be treated as a dormant lead and incentive obligations shall remain applicable.
5Incentive Payment Terms
Businesses agree to provide pre-decided incentives/commissions for successful sales, bookings or conversions generated through the YourSamadhan network.
The incentive amount/structure shall be mutually decided separately.
All approved incentives must be cleared within 7 days from the successful transaction date.
6Business Responsibility
The Business shall remain fully responsible for:
- Product quality
- Service quality
- Delivery commitments
- Pricing
- Customer support
- Legal permissions
- Licenses
- Certifications
- Government approvals
YourSamadhan shall not be liable for:
- Product defects
- Fraud
- Service failures
- Delayed delivery
- Financial disputes
- Legal violations by the Business
7Customer & Advisor Disputes
Any dispute occurring between:
- Business and Customer
- Business and Advisor
shall primarily remain the responsibility of the concerned parties.
YourSamadhan may attempt mediation for operational support purposes but shall not be legally responsible for such disputes.
8Network Protection
Businesses agree not to intentionally bypass the YourSamadhan platform or associated advisors for the purpose of avoiding agreed incentive obligations related to network-generated leads.
9Misrepresentation
The Business agrees not to provide:
- False commitments
- Fake pricing
- Misleading advertisements
- Fraudulent claims
Any serious misconduct may result in immediate suspension or termination from the YourSamadhan network.
10Termination
Either party may discontinue the partnership with reasonable notice.
Pending valid incentive obligations prior to termination shall remain payable.
11Complaints & Blacklisting Policy
YourSamadhan reserves the right to review complaints received from customers, advisors or network members regarding any Business associated with the platform.
If a complaint is found to involve serious misconduct including but not limited to:
- Fraud
- Misrepresentation
- Intentional non-payment of agreed incentives
- Repeated customer disputes
- False commitments
- Unethical business practices
YourSamadhan may suspend or permanently remove the Business from its network.
Additionally, repeated multiple complaints, even if individually unproven but reasonably concerning in nature, may also result in temporary suspension, internal review or blacklisting in order to protect the trust and safety of the network ecosystem.
The decision of YourSamadhan regarding continuation, suspension or blacklisting within its private network shall remain final.
12Dispute Resolution
In case of operational disputes related to lead ownership, advisor coordination, incentive allocation or internal network matters, YourSamadhan reserves the right to review the matter internally and take a reasonable operational decision for smooth functioning of the network.
All parties agree to cooperate in good faith toward amicable resolution of disputes.
13Jurisdiction
Any legal dispute arising out of this partnership shall be subject to the jurisdiction of courts located in Gwalior, Madhya Pradesh only.
14Legal Expenses
If any party is found to have acted fraudulently, dishonestly or in violation of agreed partnership obligations, the concerned party may be held responsible for reasonable legal or recovery-related expenses, subject to applicable laws and legal proceedings.
15Acceptance
By applying to become a business partner and continuing to participate in the network, the Business acknowledges that they have read, understood and agree to be bound by all terms and conditions of this agreement.
